Terms of Service

1. The agreement

Klei is a management platform for learning and enrichment centers, operated by Daskul Technology OPC ("Klei", "we", "us"). These Terms of Service ("Terms") are an agreement between us and the learning or enrichment center that holds a Klei account ("you", "your center"). By creating an account or using the platform, you accept these Terms. If you accept them on behalf of a center, you confirm that you are authorized to do so.

2. The service

Klei provides tools for running a learning center — such as enrollment and student records, scheduling, billing, and messaging integrations including Facebook Messenger. We continuously improve the platform and may add, change, or remove features as it evolves.

3. Accounts and acceptable use

You are responsible for your center's account, including the activity of the staff accounts you create. You agree to:

• Provide accurate account information and keep credentials secure.
• Use the platform only for lawful purposes related to running your center.
• Not send spam or unsolicited marketing through the platform's messaging features, and comply with the policies of connected platforms (see section 5).
• Not upload content that is unlawful or infringes the rights of others.
• Not interfere with, probe, or disrupt the platform, or resell access to it without our written agreement.

We may suspend access that we reasonably believe violates these Terms or puts the platform or its users at risk.

4. Your data

The data your center manages in Klei — student and guardian records, enrollment data, conversations — belongs to your center. We process it on your behalf to provide the service, as described in our Privacy Policy.

Your center is responsible for the personal data it collects and enters into Klei — including having the appropriate consent or other lawful basis under applicable data protection law (such as the Philippine Data Privacy Act), especially for data about minors.

Deletion of personal data is handled as described on our Data Deletion page. We may use aggregated, de-identified usage data to improve the service.

5. Third-party services

Some features depend on third-party platforms — for example, Facebook Messenger features depend on Meta's APIs and are subject to Meta's terms and policies. When you connect a third-party service, you agree to comply with that service's terms (for Meta, including its Pages and Messenger policies). We do not control third-party platforms and are not responsible for their availability, message delivery, or changes to their terms or APIs; features that depend on them may change or become unavailable as a result.

6. Fees

Some parts of Klei are paid. Fees, billing cycles, and plan details are as published or as agreed with your center, and are exclusive of applicable taxes. We may change pricing with prior notice, effective from your next billing cycle. If fees remain unpaid after reasonable notice, we may suspend or limit access until the balance is settled.

7. Term and termination

You may stop using Klei and close your center's account at any time (see the Data Deletion page for how). We may suspend or terminate your access if you materially breach these Terms, fail to pay applicable fees, or use the platform in a way that risks harm to the service or others — with notice where practicable.

Before closing your account, you can request a reasonable export of your center's data. After closure, data is deleted as described in our Privacy Policy.

8. Availability

We operate the platform on a commercially reasonable, best-effort basis, but we do not guarantee that it will be uninterrupted or error-free. Maintenance, updates, or events outside our control may cause temporary downtime.

9. Intellectual property

The Klei platform, including its software and design, belongs to Daskul Technology OPC. We grant your center a non-exclusive, non-transferable right to use it for the duration of your account. Your data remains yours (section 4). If you send us feedback or suggestions, we may use them to improve the platform without obligation to you.

10. Disclaimers and limitation of liability

The platform is provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties, including merchantability and fitness for a particular purpose.

To the extent permitted by law, our total liability arising out of or relating to the service is limited to the fees your center paid us in the twelve (12) months before the event giving rise to the claim — or, if your center has paid no fees, to ₱5,000. We are not liable for indirect or consequential damages, or for loss of profits, revenue, or data.

Nothing in these Terms limits liability that cannot be excluded under applicable law.

11. Indemnity

Your center will indemnify and hold us harmless from third-party claims arising out of the data or content your center submits to the platform, or your center's use of the platform in violation of these Terms or applicable law.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated date, and where appropriate we will notify your center's account email. Continued use of the platform after a change takes effect constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of the Republic of the Philippines. Disputes will be brought exclusively before the proper courts of the city where Daskul Technology OPC maintains its principal office. If any provision of these Terms is found unenforceable, the rest remain in effect; our failure to enforce a provision is not a waiver of it.
